Terms of Service

Last updated: July 31, 2026

Welcome to Aivio. These Terms of Service ("Terms") govern your access to and use of the Aivio platform, including our AI Gateway, Spend Control, API Integration, White-Label services, website, dashboard, and related services (collectively, the "Services"), operated by Aivio ("Aivio", "we", "us"). By creating an account or using the Services, you agree to these Terms on behalf of yourself or the entity you represent.

Summary: This is a general-purpose template summarizing key terms. It is not legal advice. Please review the full Terms below and consult your legal counsel for your specific situation.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity.

2. Overview of Services

Aivio provides an enterprise platform that includes a unified, OpenAI-compatible AI Gateway to access multiple AI models through one API; spend control and budget management; API integration with ERP, finance, payment, and CRM systems; and white-label capabilities that allow partners to launch their own branded AI gateway with custom domains, dashboards, documentation, and billing.

3. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into contracts to use the Services. You are responsible for maintaining the confidentiality and security of your account credentials, API keys, and all activity that occurs under your account. You must notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to, and not to allow others to:

5. AI Models, API Usage & Rate Limits

The Aivio AI Gateway routes requests to third-party AI models and providers (such as OpenAI, Anthropic, and others). You are responsible for the content you submit and for ensuring your use of any third-party model complies with that provider's terms and usage policies. Aivio does not warrant the accuracy, reliability, or availability of any third-party model output. We may impose rate limits, quotas, and fair-use thresholds, and may modify routing, pricing, or model availability at any time.

6. Payment, Billing & Taxes

Paid plans include subscription fees, usage-based charges, setup fees, and optional white-label support, as described on your invoice or order form. You authorize us to charge the applicable fees through the payment method you provide. Fees are non-refundable except as required by law or as explicitly stated. You are responsible for all taxes associated with your use of the Services.

7. White-Label & Reseller Obligations

If you use our white-label or reseller features, you are solely responsible for your end-users (sub-clients), including your relationship with them, your own terms and policies, pricing, billing, support, and compliance with applicable laws. You must not represent yourself as Aivio, and you must clearly disclose that the underlying service is provided by Aivio where required.

8. Intellectual Property

We retain all right, title, and interest in the Services, including all software, branding, documentation, and underlying technology. You retain all rights to your data and the content you process through the Services. Aivio may use aggregated, anonymized usage data to operate, improve, and secure the Services, in accordance with our Privacy Policy.

9. Confidentiality

Each party agrees to protect the confidentiality of non-public information received from the other in connection with the Services, and to use it solely to exercise rights and fulfill obligations under these Terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that AI outputs will be accurate or suitable for your use case.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Aivio be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to the Services. Our total aggregate liability for any claim is limited to the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Aivio and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

13. Term & Termination

These Terms begin when you start using the Services and continue until terminated. You may stop using the Services at any time. We may suspend or terminate access immediately if you breach these Terms, pose a security or legal risk, or if required by law or by a third-party model provider. Upon termination, your right to use the Services ceases, and you remain liable for fees incurred before termination.

14. Modifications

We may update these Terms from time to time. If changes are material, we will provide notice through the Services or by email. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Aivio's contracting entity is established, without regard to conflict-of-law principles. The parties will attempt to resolve disputes in good faith before initiating formal proceedings in the competent courts of that jurisdiction.
